About the Project
The project “Legal Aspects of Corporate Acquisitions and Knowledge Driven Companies’ Restructuring” is four-year scientific project approved in 2015 and financed by the Croatian Science Foundation. The aim of the project is to focus on various legal issues related to the project topic, and in particular different features of the acquisition and restructuring processes from the aspects of company law, capital market law, financial law, competition law and intellectual property law.
After entering the EU internal market, Croatian companies are facing the challenge of corporate regrouping through acquisitions and restructurings. This is an inevitable outcome of two-direction process: new competitors from the other EU MSs enter the Croatian market and Croatian companies entering the EU internal market. Cross-border and/or domestic corporate regroupings may vary depending on the chosen legal model. The project team is focused on analysing corporate acquisitions and restructurings from the point of company law, capital market law, tax law, competition law and intellectual property law. The aim of the project is to examine legal aspects and propose legal models enabling restructuring of the knowledge-driven companies. The outcomes of the research are expected to provide the companies with a constructive platform in defining their model of restructuring in order to survive or improve their presence on the market. It is also expected that project results might serve the legislator as a reference in the course of future amendments to the relevant laws.
